In addition to general information about\n ArcTrade and its\n services that is made available on ArcTrade’s website, the Service may include\n access to\n certain features of ArcTrade’s web-based platform known as the “ArcTrade\n Intelligence\n Platform” (the “Platform”). The Platform can be used by retail\n energy service\n companies (“ESCOs”) to manage their relationships with their retail\n energy\n customers (“Customers”).\n \n \n \n 2. \n \n Eligibility. You must be at least 18 years old to use the Service.\n By agreeing to\n these Terms, you represent and warrant to us that: (a) you are at least 18 years\n old; (b) you have not previously been suspended or removed from the\n Service; and (c) your registration and your use of the Service is in compliance with\n any\n and all applicable laws and regulations. If you are an entity, organization, or\n company, the individual accepting these Terms on your behalf represents and warrants\n that they have authority to bind you to these Terms and you agree to be bound by\n these\n Terms.\n \n \n \n 3. \n \n User Types; Accounts and Registration\n \n \n \n 3.1 \n \n ESCOs. If you are using the Platform on behalf of an ESCO, that\n usage is subject to\n the terms of a separate agreement between that ESCO and ArcTrade governing use of\n the\n Platform (a “Platform Subscription Agreement”). Use of the Service\n other than the\n Platform is subject to these Terms to the extent these Terms do not conflict with\n the\n Platform Subscription Agreement. In the event of a conflict between the Platform\n Subscription Agreement and these Terms, the Platform Subscription Agreement will\n control. If you are accessing the Service on behalf of an ESCO and that ESCO does\n not\n have a current Platform Subscription Agreement, you are not authorized to use the\n Service, other than publicly available portions of the Service (e.g., the public\n website), and such use is governed by these Terms.\n \n \n \n 3.2 \n \n Customers\n \n \n \n a. \n \n If you are using the Platform as a Customer, to access most features of the\n Service, you must register for an account (each, a “Customer\n Account”). The first user\n to set up a Customer Account for a particular utility account (such user,\n the “Primary\n Account Holder” and such account, the “Primary Customer\n Account”) will be responsible\n for delegating access rights to additional users with respect to that same utility\n account (each, a “User Account Holder”). The Primary Account Holder\n is responsible for\n all activities of any User Account Holders who have been provided access to the\n Customer\n Account by the Primary Account Holder.\n \n \n \n b. \n \n When you register for a Customer Account, you may be required to provide us with\n some\n information about yourself, such as your name, email address, or other contact\n information. You agree that the information you provide to us is accurate and that\n you\n will keep it accurate and up-to-date at all times. When you register, you will be\n asked\n to provide a password. You are solely responsible for maintaining the\n confidentiality of\n your account and password, and you accept responsibility for all activities that\n occur\n under your Customer Account. If you believe that your account is no longer secure,\n then\n you must immediately notify us at support@arctrade.com.\n \n \n \n 4. \n \n Licenses\n \n \n \n 4.1 \n \n Limited License. Subject to your complete and ongoing compliance\n with these\n Terms, ArcTrade grants you, solely for your personal use, a\n limited, non-exclusive, non-transferable, non-sublicensable, revocable license to\n access\n and use the Service.\n \n \n \n 4.2 \n \n License Restrictions. By providing User Content to or\n via the\n Service, you grant ArcTrade a worldwide, non-exclusive, irrevocable, royalty-free,\n fully\n paid right and license (with the right to sublicense) to\n host, store, transfer, display, perform, reproduce, modify for the purpose of\n formatting\n for display, and distribute your User Content, in whole or in part, in any media\n formats\n and through any media channels now known or hereafter developed solely in connection\n with provision, support, and enhancement of the Service.\n \n \n \n 7.3 \n \n Limited License Grant to Other Users. By providing User Content to\n or via the Service\n to other users of the Service (including any ESCOs), you grant those users a\n non-exclusive license to access and use that User Content as permitted by these\n Terms\n and the functionality of the Service.\n \n \n \n 7.4 \n \n User Content Representations and Warranties. ArcTrade disclaims any\n and all liability\n in connection with User Content. You are solely responsible for your User Content\n and\n the consequences of providing User Content via the Service. By providing User\n Content\n via the Service, you affirm, represent, and warrant that:\n \n \n \n a. \n \n you are the creator and owner of the User Content, or have the necessary\n licenses, rights, consents, and permissions to authorize ArcTrade and users of the\n Service to use and distribute your User Content as necessary to exercise the\n licenses\n granted by you in this Section, in the manner contemplated by ArcTrade, the Service,\n and\n these Terms;\n \n \n \n b. \n \n your User Content, and the use of your User Content as contemplated by these Terms,\n does\n not and will not: (i) infringe, violate, or misappropriate any third party\n right, including any copyright, trademark, patent, trade secret, moral right,\n privacy\n right, right of publicity, or any other intellectual property or proprietary\n right; (ii) slander, defame, libel, or invade the right of privacy, publicity or\n other\n property rights of any other person; or (iii) cause ArcTrade to violate any law or\n regulation; and\n \n \n \n c. \n \n your User Content could not be deemed by a reasonable person to be\n objectionable, profane, indecent, pornographic, harassing, threatening,\n embarrassing, hateful, or\n otherwise inappropriate.\n \n \n \n 7.5 \n \n User Content Disclaimer. We are under no obligation to edit or\n control User Content\n that you or other users post or publish, and will not be in any way responsible or\n liable for User Content. ArcTrade may, however, at any time and without prior\n notice, screen, remove, edit, or block any User Content that in our sole judgment\n violates these Terms or is otherwise objectionable. You understand that when using\n the\n Service you will be exposed to User Content from a variety of sources and\n acknowledge\n that User Content may be inaccurate, offensive, indecent, or objectionable. You\n agree to\n waive, and do waive, any legal or equitable right or remedy you have or may have\n against\n ArcTrade with respect to User Content. If notified by a user or content owner that\n User\n Content allegedly does not conform to these Terms, we may investigate the allegation\n and\n determine in our sole discretion whether to remove the User Content, which we\n reserve\n the right to do at any time and without notice. For clarity, ArcTrade does not\n permit\n copyright-infringing activities on the Service.\n \n \n \n 7.6 \n \n Monitoring Content. ArcTrade does not control and does not have any\n obligation to\n monitor: (a) User Content; (b) any content made available by third parties; or (c)\n the\n use of the Service by its users. You acknowledge and agree that ArcTrade reserves\n the\n right to, and may from time to time, monitor any and all information transmitted or\n received through the Service for operational and other purposes. If at any time\n ArcTrade\n chooses to monitor the content, ArcTrade still assumes no responsibility or\n liability\n for content or any loss or damage incurred as a result of the use of content. During\n monitoring, information may be examined, recorded, copied, and used in accordance\n with\n our Privacy Policy.\n \n \n \n 8. \n \n Prohibited Conduct. In the interest of resolving disputes between you and ArcTrade in the\n most expedient and cost effective manner, and except as described in Section 15.2, you\n and ArcTrade agree that every dispute arising in connection with these Terms will be\n resolved by binding arbitration. Arbitration is less formal than a lawsuit in court.\n Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more\n limited discovery than in court, and can be subject to very limited review by courts.\n Arbitrators can award the same damages and relief that a court can award. This agreement\n to arbitrate disputes includes all claims arising out of or relating to any aspect of\n these Terms, whether based in contract, tort, statute, fraud, misrepresentation, or any\n other legal theory, and regardless of whether a claim arises during or after the\n termination of these Terms. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE\n TERMS, YOU AND ARCTRADE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE\n IN A CLASS ACTION.\n \n \n \n 15.2 \n \n Exceptions. Despite the provisions of Section 15.1, nothing in these Terms will be\n deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an\n individual action in small claims court; (b) pursue an enforcement action through the\n applicable federal, state, or local agency if that action is available; (c) seek\n injunctive relief in a court of law in aid of arbitration; or (d) to file suit in a\n court of law to address an intellectual property infringement claim.\n \n \n \n 15.3 \n \n Arbitrator. Any arbitration between you and ArcTrade will be settled under the\n Federal Arbitration Act and administered by the American Arbitration\n Association (“AAA”) under its Consumer Arbitration Rules (collectively, “AAA Rules”) as\n modified by these Terms. The AAA Rules and filing forms are available online at\n www.adr.org, by calling the AAA at 1-800-778-7879, or by contacting ArcTrade. The\n arbitrator has exclusive authority to resolve any dispute relating to the\n interpretation, applicability, or enforceability of this binding arbitration agreement.\n \n \n \n 15.4 \n \n Notice of Arbitration; Process. A party who intends to seek arbitration must first\n send a written notice of the dispute to the other party by certified U.S. Mail or by\n Federal Express (signature required) or, only if that other party has not provided a\n current physical address, then by electronic mail (“Notice of Arbitration”). ArcTrade’s\n address for Notice is: ArcTrade, Inc., 12707 High Bluff Drive, Suite 200. San\n Diego, CA 92130. The Notice of Arbitration must: (a) describe the nature and basis of\n the claim or dispute; and (b) set forth the specific relief sought (“Demand”). The\n parties will make good faith efforts to resolve the claim directly, but if the parties\n do not reach an agreement to do so within 30 days after the Notice of Arbitration is\n received, you or ArcTrade may commence an arbitration proceeding. All arbitration\n proceedings between the parties will be confidential unless otherwise agreed by the\n parties in writing. During the arbitration, the amount of any settlement offer made by\n you or ArcTrade must not be disclosed to the arbitrator until after the arbitrator makes\n a final decision and award, if any. If the arbitrator awards you an amount higher than\n the last written settlement amount offered by ArcTrade in settlement of the dispute\n prior to the award, ArcTrade will pay to you the higher of: (i) the amount awarded by\n the arbitrator; or (ii) $10,000.\n \n \n \n 15.5 \n \n Fees. If you commence arbitration in accordance with these Terms, ArcTrade will\n reimburse you for your payment of the filing fee, unless your claim is for more than\n $10,000, in which case the payment of any fees will be decided by the AAA Rules. Any\n arbitration hearing will take place at a location to be agreed upon in San Diego\n County, California, but if the claim is for $10,000 or less, you may choose whether the\n arbitration will be conducted: (a) solely on the basis of documents submitted to the\n arbitrator; (b) through a non-appearance based telephone hearing; or (c) by an in-person\n hearing as established by the AAA Rules in the county (or parish) of your billing\n address. If the arbitrator finds that either the substance of your claim or the relief\n sought in the Demand is frivolous or brought for an improper purpose (as measured by the\n standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all\n fees will be governed by the AAA Rules. In that case, you agree to reimburse ArcTrade\n for all monies previously disbursed by it that are otherwise your obligation to pay\n under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the\n arbitrator must issue a reasoned written decision sufficient to explain the essential\n findings and conclusions on which the decision and award, if any, are based. The\n arbitrator may make rulings and resolve disputes as to the payment and reimbursement of\n fees or expenses at any time during the proceeding and upon request from either party\n made within 14 days of the arbitrator’s ruling on the merits.\n \n \n \n 15.6 \n \n No Class Actions. YOU AND ARCTRADE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE\n OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN\n ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and ArcTrade\n agree otherwise, the arbitrator may not consolidate more than one person’s claims, and\n may not otherwise preside over any form of a representative or class proceeding.\n 15.7 Modifications to this Arbitration Provision. If ArcTrade makes any future change to\n this arbitration provision, other than a change to ArcTrade’s address for Notice of\n Arbitration, you may reject the change by sending us written notice within 30 days of\n the change to ArcTrade’s address for Notice of Arbitration, in which case your account\n with ArcTrade will be immediately terminated and this arbitration provision, as in\n effect immediately prior to the changes you rejected will survive.\n 15.8 Enforceability. If Section 15.6 is found to be unenforceable or if the entirety of\n this Section 15 is found to be unenforceable, then the entirety of this Section 15 will\n be null and void and, in that case, the parties agree that the exclusive jurisdiction\n and venue described in Section 16.2 will govern any action arising out of or related to\n these Terms.\n \n \n \n 16. \n \n Miscellaneous\n \n \n \n 16.1 \n \n General Terms. These Terms, together with the Privacy Policy and any other\n agreements expressly incorporated by reference into these Terms (including the Platform\n Subscription Agreement, if applicable), are the entire and exclusive understanding and\n agreement between you and ArcTrade regarding your use of the Service. You may not assign\n or transfer these Terms or your rights under these Terms, in whole or in part, by\n operation of law or otherwise, without our prior written consent. We may assign these\n Terms at any time without notice or consent. The failure to require performance of any\n provision will not affect our right to require performance at any other time after\n that, nor will a waiver by us of any breach or default of these Terms, or any provision\n of these Terms, be a waiver of any subsequent breach or default or a waiver of the\n provision itself. Use of section headers in these Terms is for convenience only and will\n not have any impact on the interpretation of any provision. Throughout these Terms the\n use of the word “including” means “including but not limited to”. If any part of these\n Terms is held to be invalid or unenforceable, the unenforceable part will be given\n effect to the greatest extent possible, and the remaining parts will remain in full\n force and effect.\n \n \n \n 16.3 \n \n Governing Law. These Terms are governed by the laws of the State of California\n without regard to conflict of law principles that would result in the application of the\n laws of another jurisdiction. You and ArcTrade submit to the personal and exclusive\n jurisdiction of the state courts and federal courts located within San Diego\n County, California for resolution of any lawsuit or court proceeding permitted under\n these Terms. We operate the Service from our offices in California, and we make no\n representation that Materials included in the Service are appropriate or available for\n use in other locations.\n \n \n \n 16.3 \n \n Privacy Policy. Please read the ArcTrade Privacy Policy carefully for information\n relating to our collection, use, storage, disclosure of your personal information. The\n ArcTrade Privacy Policy is incorporated by this reference into, and made a part\n of, these Terms.\n \n \n \n 16.4 \n \n Additional Terms. Your use of the Service is subject to all additional\n terms, policies, rules, or guidelines applicable to the Service or certain features of\n the Service that we may post on or link to from the Service (the “Additional\n Terms”). All Additional Terms are incorporated by this reference into, and made a part\n of, these Terms.\n \n \n \n 16.5 \n \n Consent to Electronic Communications. By using the Service, you consent to receiving\n certain electronic communications from us as further described in our Privacy Policy.\n Please read our Privacy Policy to learn more about our electronic communications\n practices. You agree that any notices, agreements, disclosures, or other communications\n that we send to you electronically will satisfy any legal communication\n requirements, including that those communications be in writing.\n \n \n \n 16.6 \n \n Consent to Access Electric Utility Data.
